Business Purchase or Sale

Buying or Selling a Business?

Whether you are selling your existing business or looking to purchase a business, we can help. Each party to the sale (or purchase) of a business should be independently advised by a lawyer and an accountant. In particular, Navigate Law can assist with:
How Can We Help
  • Reviewing the contract and ensuring the party details (buyer / seller) are correctly recorded
  • Drafting and advising on contract terms and any relevant special conditions
  • Advising on the GST position applicable to your situation – it is also recommended that parties liaise with their accountant regarding any GST or other taxation implications
  • Drafting business sale contracts if you are selling your business privately
  • Arranging due diligence searches and inspections to ensure your interests are protected
  • Assisting parties to ensure compliance with Retail Shop Leases requirements as applicable
  • Reviewing and advising on the lease and liaising with the landlord’s solicitors for a new lease or assignment of lease as applicable
  • Liaising with your lender where bank finance is involved
  • Attending to stamping of contract and registration of lease transfer as applicable
  • General conduct of conveyance, calculation of adjustments to purchase price (for example rent and outgoings) and attending settlement
It is recommended that, wherever possible, you have us review the contract before you sign it.
"Very helpful when we sold our business. Can not fault the whole process. We then updated our wills as well."

Our #1 priority is the health of our staff, families and clients.  Accordingly, we are limiting face-to-face appointments.

We are also putting measures in place which allow some staff to work remotely.  Our preferred method of communication at this time is EMAIL, or if you need to speak with someone regarding your matter, telephone.

We request that you DO NOT attend the office in person unless you have a pre-arranged appointment.  We have a “Drop-Box” set up immediately outside the office on level 1 if you are wanting to deliver or return documents, which will be cleared regularly.  We wish to assure our clients that we will remain open for business during this crisis and have the capabilities to work remotely if required to ensure continuity of service.
